         BY-LAWS

SECRETARY:   It shall be the duty of the Secretary to keep a record of all club proceedings, to keep copy of the Constitution and By-Laws, and have same with him/her at every meeting.  He/She shall cause all amendments, changes and/or additions to the Constitution and/or By-Laws to be noted therein, and shall permit the same to be consulted upon by members on request.

TREASURER:  It shall be the duty of the Treasurer to receive and keep receipt of all monies paid to the club and shall keep an accurate account of all monies received and expended.

MEMBERSHIP:  Full membership is open to all licensed Amateurs. A member in good standing shall be defined as one who is current with respect to dues and/or assessments, and who has been properly admitted to the club.  Membership shall include all club privileges as well as the right to hold a club office and to vote for club officers.

MEETINGS:  Regular meetings shall be held on the fourth Wednesday of each month unless otherwise specified by the presiding officer.  Special meetings may be called by the President upon written request by any five club members.  Notices shall be sent to all members concerning special meetings and the nature of the business to be transacted, and only such business shall be transacted.  Such notices shall be sent so that they will arrive not less than twenty-four hours prior to the time of the meeting.


INTERNAL AFFAIRS COMMITTEE:  This shall be appointed by the President as deemed necessary.

DISSOLUTION:  In the event the club be dissolved whether by membership attrition, or general lack of membership interest, the equipment possessed by the club, as reflected on the club inventory, shall be sold at reasonable current market prices and the proceeds from the sale(s) shall be deposited in the club treasury or checking account.  The inventory shall be posted in the Club Trailer and a copy maintained by the Secretary. Within 30 days of the completion of such sales, in a special meeting called by the current club president, one-half of the club’s current assets shall be given to a local non-profit organization and one-half shall be given to Dale Smith (W9LKI), Angola, for the continued upkeep of the Angola repeater.  The club trailer shall be returned to Dennis Martin, of Angola.

THE CONSTITUTION OF THE
LAND OF LAKES AMATEUR RADIO CLUB

We, the membership of this organization, wishing to secure for ourselves the pleasures and benefits of the association of persons commonly interested in Amateur Radio, constitute ourselves the LAND OF LAKES AMATEUR RADIO CLUB, and enact this onstitution as our governing law.  It shall be the purpose to encourage, promote, and support Amateur Radio, to assist in licensing new Amateurs, provide community assistance and emergency communications through Amateur Radio means, to conduct club programs and activities in order to increase general interest in Amateur Radio within the community.

ARTICLE I
Membership
All persons interested in Amateur Radio solely with a personal aim and without pecuniary interested, shall be eligible for membership.  Membership shall be by application.  Membership can be terminated for due cause by two-thirds of the club voting membership.

ARTICLE II
Officers
SECTION 1:  The officers of this club shall be the President, Vice-President,             Secretary, and Treasurer.
SECTION 2:  The officers of this club shall be elected for a term of one year by ballot of the membership present, provided there is a quorum of one-third of voting membership at the monthly meeting.  Officers will be nominated, elected and take office at the January meeting.
SECTION 3: Vacancies occurring between elections must be filled by special election at the first regular meeting following the withdrawal or resignation of the officer.
SECTION 4:  Officers may be removed by a two-thirds vote of the membership.

ARTICLE III
Duties of the Officers
SECTION 1:  The President shall preside at all club meetings club and shall conduct the same according to the rules adopted by the club.  He/She shall enforce due observance of the Constitution and By- laws: decide all questions of order; sign all official documents adopted by the club and none other; and perform all other customary duties pertaining to the office of the President.
SECTION 2:  The Vice-President shall assume the duties of the President in the absence of the latter, and the position of liaison for all club committees.
SECTION 3: The Secretary shall keep a record of the proceedings of all meetings, keep a role of the membership, carry on all correspondence, and read any communications at each meeting. He/She shall, at the expiration of his/her term, relinquish everything in his/her possession belonging to the club, to his/her successor.
SECTION 4:  The treasurer shall receive and make receipt for all monies paid to the club and keep an accurate account of all monies received and expended.  Any bills to be paid totaling more than $200 will have club approval before being paid.  At each meeting, he/she shall submit an itemized statement of disbursements and receipts.  He/She shall, at the expiration of his/her term, relinquish everything in his/her possession belonging to the club, to his/her successor.

ARTICLE IV

Meetings:           The By-Laws shall provide for regular and specific meetings.  At the meetings, a minimum of five (5) members shall constitute a quorum for the transaction of business.

ARTICLE V
Dues:                    Dues will be $15.00 per year for all regular members and $20 for families. All new hams shall receive one year’s free membership upon application. Club membership shall be from January 1st through December 31st of each year.  New membership shall be pro-rated after January 1st of each year.

      
ARTICLE VI

Amendments:   This Constitution and by-Laws may be amended by a two-thirds vote                    of the total voting membership.  Proposals for amendments shall be submitted in writing at a regular meeting, provided that all members have been notified of the intention to amend the document at said meeting. 

                                         
ARTICLE VII

Rules:       In any situation where a question regarding a point of order comes
       before the club, Robert’s Rules of Order shall be used as a guide.
